**Afribot only offer services in South Africa.**

**The Platform allows users to generate AI content using multiple AI models, collaborate in teams by sharing chats, participate in affiliate programs where applicable, and access various AI-powered features including text generation, image creation, chat functionality, and code generation.**
**By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.**
**BY USING THIS SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.**
### **1.1 Changes to Terms**
**We may update these Terms at any time at our sole discretion. Material changes will be notified via email or through the Platform. Your continued use of the Platform after changes constitutes your acceptance of the modified Terms. It is your responsibility to review these Terms periodically.**
**2\. Eligibility**

* **Create multiple accounts to circumvent restrictions**

**The Platform provides AI-powered content generation services using multiple third-party AI models (including but not limited to OpenAI and other providers). Features include:**

* **Document analysis and processing**
### **4.2 Multiple AI Models**
**The Platform may offer access to different AI models, each with varying capabilities, speeds, costs, and output characteristics. Results may differ significantly based on:**
* **The specific AI model selected**
* **Your input prompts and parameters**
* **The context and formatting of requests**
* **Limitations of the underlying AI technology**
### **4.3 Team Collaboration**
**The Platform allows users to collaborate in teams and share chats, content, and resources with other team members according to the permissions set by team administrators.**
### **4.4 Service Modifications**
**We reserve the right to:**
* **Add, modify, suspend, or discontinue any features or services at any time**
* **Change pricing, credit costs, or usage limits with or without notice**
* **Impose limits on certain features or restrict access to parts of the Platform**
* **Update, upgrade, or change the underlying AI models or technology**
**No modifications will entitle you to refunds, compensation, or continued access to discontinued features.**
**5\. Nature of AI-Generated Content**

### **5.1 No Guarantees of Accuracy or Quality**
**You expressly acknowledge and agree that:**
* **AI content is probabilistic and experimental: All content generated by AI models is created using statistical patterns and does not guarantee accuracy, completeness, or reliability**
* **Errors and inaccuracies are expected: AI-generated outputs may contain factual errors, logical inconsistencies, biased information, outdated data, or inappropriate content**
* **Results vary significantly: The quality and relevance of outputs depend on numerous factors including prompt design, model selection, context, and random variation**
* **No fitness for purpose: The Platform does not guarantee that AI-generated content will be suitable for any particular purpose, including commercial, professional, or personal use**
* **Model limitations: Different AI models have different strengths, weaknesses, training data, and cutoff dates that affect output quality**
### **5.2 User Responsibility for AI Content**
**You are solely and entirely responsible for:**
* **Reviewing and verifying: Carefully examining all AI-generated content before use**
* **Fact-checking: Confirming the accuracy of any factual claims, data, or information**
* **Quality assessment: Determining whether outputs meet your standards and requirements**
* **Legal compliance: Ensuring content complies with all applicable laws, regulations, and third-party rights**
* **Consequences of use: Any and all consequences arising from your use, publication, or reliance on AI-generated content**
* **Professional judgment: Not relying on AI outputs as a substitute for professional advice, expertise, or human judgment**
### **5.3 Prohibited Reliance**
**You agree NOT to use AI-generated content:**
* **As a substitute for professional legal, medical, financial, or other licensed professional advice**
* **Without independent verification for critical decisions or high-stakes applications**
* **In situations where errors could cause harm, injury, or significant loss**
* **As authoritative or definitive information without validation**
**6\. Payments, Credits, and Refunds**

### **6.1 Pricing and Payment**
**Certain features and services require payment of fees or purchase of credits. All prices are displayed in the currency specified on the Platform and are subject to change at our discretion with notice.**
**Payments are processed through third-party payment providers (including but not limited to PayStack, PayPal, and Stripe), and are subject to their respective terms and conditions. We are not responsible for any errors, delays, or issues with third-party payment processors.**
### **6.2 Credits System**
**Credits are the virtual currency used to access certain Platform features. Credits:**
* **Must be purchased in advance**
* **Are non-refundable under any circumstances**
* **Are non-transferable and have no cash value**
* **Cannot be exchanged, sold, or transferred to other users**
* **Expire at the beginning of each new subscription month or billing cycle**
* **May have different costs for different AI models or features**
### **6.3 NO REFUNDS POLICY - ALL SALES FINAL**
**ALL PAYMENTS AND PURCHASES ARE STRICTLY NON-REFUNDABLE UNDER ANY CIRCUMSTANCES, including but not limited to:**
* **Dissatisfaction with AI-generated content quality, accuracy, or relevance**
* **Unused credits, tokens, or subscription time**
* **Expired credits at the end of a billing cycle**
* **Technical issues, service interruptions, or downtime**
* **Changes in your business needs, requirements, or circumstances**
* **Failure to achieve desired results or outcomes**
* **Inability to use the Platform or specific features for any reason**
* **Account suspension or termination for violations of these Terms**
* **Changes to pricing, features, or service offerings**
* **Discontinuation of features or services**
* **AI model changes or performance variations**
* **Errors in AI-generated content**
* **Any other reason whatsoever**
### **6.4 Subscriptions**
* **Subscription fees are charged in advance on a recurring basis (monthly, annually, or as specified)**
* **All subscription fees are non-refundable, even if you cancel mid-cycle**
* **Cancellations take effect at the end of the current billing period**
* **No prorated refunds or credits will be issued for partial subscription periods**
* **You are responsible for canceling your subscription before the next billing date to avoid charges**
### **6.5 Price Changes**
**We reserve the right to change our pricing at any time. Price changes for subscriptions will be communicated in advance and will take effect at your next renewal. Continued use after price changes constitutes acceptance.**
### **6.6 Credit Usage and Fair Use**
**Your subscription plan includes a monthly allocation of credits designed for typical content creation usage. You acknowledge and agree that credits can be consumed rapidly depending on your usage patterns.**
**How Credits Are Consumed:**
* **AI Writer & ReWriter: Credits are consumed based on the number of words/tokens generated. Longer content uses more credits.**
* **AI Chat, File Chat, Vision & Web Chat: Both your input (prompts/uploads) and AI responses count toward your token allocation. Large documents or extensive conversations consume significant credits.**
* **AI Images: Image generation costs vary by model used. Each image request consumes credits based on the specific model selected (see current rates at fal.ai/pricing). Higher quality or specialized models consume more credits per image.**
* **Document Processing: Large files (PDFs, Word documents, CSVs) can consume substantial credits based on file size, complexity, and the number of questions asked.**
**Rapid Credit Depletion:**
**A single large request may consume a significant portion or all of your monthly credits. Examples of usage that can rapidly deplete credits include:**
* **Processing entire books or very large documents (100+ pages)**
* **Generating multiple high-resolution images using premium models**
* **Uploading and analyzing large datasets or files**
* **Running continuous or automated bulk requests**
* **Repeatedly generating variations of the same content**
* **Extended multi-turn conversations with substantial context**
**Credit Management and Policies:**
* **Credits reset monthly on your billing renewal date**
* **Unused credits do not roll over to the next month and are forfeited**
* **Credits are non-refundable once used, regardless of how quickly they are consumed**
* **You are responsible for monitoring your remaining credits via your dashboard**
* **You may upgrade your plan or purchase add-on credits if you run out mid-cycle**
* **We are not responsible for credits consumed through your usage choices**
**Fair Use Policy:**
**Our pricing is based on normal, reasonable usage patterns for content creators. We reserve the right to review accounts that exhibit unusual usage patterns, including but not limited to:**
* **Consuming all monthly credits within 24-48 hours of renewal**
* **Automated or bulk processing activities**
* **Usage patterns inconsistent with typical content creation workflows**
* **Activities that suggest account sharing or resale of services**
**Accounts found to be in violation of fair use guidelines may be subject to:**
* **Account review and investigation**
* **Usage restrictions or limitations**
* **Plan modifications or forced upgrades**
* **Account suspension or termination as outlined in Section 13**
**User Responsibility:**
**You are solely responsible for:**
* **Managing your credit usage throughout the billing cycle**
* **Understanding how different features and models consume credits**
* **Planning your usage to avoid service interruptions**
* **Verifying credit costs before generating content with premium models**
**Recommendation: Start with smaller documents and requests to understand credit consumption patterns before processing large volumes of content. Check your remaining credits regularly in your dashboard to avoid unexpected service interruptions.**
**By subscribing to and using AfriBot, you acknowledge that you understand how credits are consumed and agree to use the Platform within these fair use guidelines and credit policies.**
### **6.7 Credit Overuse Allowance (When Enabled)**
* If you use more credits than your monthly allocation, the excess is recorded as a debt on your workspace.
* This debt will be automatically deducted from your next subscription renewal or any future credit purchases.
* This feature helps ensure continued service access beyond your allocation.
* **Important:** It does not allow unlimited usage. If your balance is negative, you cannot perform new operations until the debt is paid.
**7\. Affiliate Program**

### **7.1 Program Overview**
**We may offer an affiliate program that allows you to earn commissions by referring new users to the Platform through unique affiliate links. Participation in the affiliate program is optional and subject to these Terms and any additional affiliate program guidelines we publish.**
**Afribot only offer services in South Africa. No Affiliate Program outside South Africa.**
### **7.2 Affiliate Earnings**
* **Commissions are earned only on qualified referrals as determined by us**
* **We define what constitutes a "qualified referral" and may change these criteria at any time**
* **Earnings are calculated and paid out according to our affiliate guidelines and payment schedules**
* **We reserve the right to modify commission rates, payment terms, and program structure at any time**
* **Minimum payout thresholds may apply**
* **We reserve the right to modify commission rates (including percentage or structure, e.g., from one-time to recurring), payment terms, and program structure at any time without prior notice.**
* **Changes to commission structure (e.g., to recurring) will not retroactively apply to existing one-time commissions.**
* **During or after changes, pending payouts may be delayed or adjusted at our discretion.**
### **7.3 Affiliate Compliance**
**As an affiliate, you must:**
* **Comply with all applicable laws, including advertising disclosure requirements**
* **Clearly disclose your affiliate relationship when promoting the Platform**
* **Not engage in misleading, deceptive, or fraudulent promotional practices**
* **Not use spam, unsolicited communications, or black-hat marketing techniques**
* **Not bid on our trademarks or brand names in paid search campaigns**
* **Not create false or misleading impressions about your relationship with us**
### **7.4 Tax Obligations**
**You are solely responsible for:**
* **All tax obligations arising from affiliate earnings**
* **Properly reporting affiliate income to relevant tax authorities**
* **Paying all applicable taxes on your earnings**
**We are not responsible for withholding, collecting, or remitting any taxes on your behalf unless required by law.**
### **7.5 Affiliate Termination**
**We reserve the right to:**
* **Terminate your affiliate status at any time, with or without notice or cause**
* **Withhold or revoke commissions for fraudulent, invalid, or non-compliant referrals**
* **Suspend payouts pending investigation of suspicious activity**
* **Modify or discontinue the affiliate program entirely**
**Termination of affiliate status does not entitle you to payment of pending or future commissions unless already earned and approved.**
### **7.6 Affiliate Disclaimer**
**Participation in the affiliate program is at your own risk. We make no guarantees about:**
* **The amount of earnings you may generate**
* **The continued availability of the affiliate program**
* **The stability of commission rates or terms**
**8\. User Content and Conduct**

### **8.1 Your Content**
**"Your Content" includes all data, information, text, images, prompts, inputs, and other materials you submit to or through the Platform.**
**You retain ownership of Your Content, but you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display Your Content solely for the purposes of:**
* **Providing, maintaining, and improving the Platform**
* **Processing Your Content to generate AI outputs**
* **Complying with legal obligations**
* **Enforcing these Terms**
### **8.2 Content Restrictions**
**You must not input or submit:**
* **Confidential, proprietary, or trade secret information without proper authorization**
* **Personal data of third parties without their consent**
* **Content you do not have the right to use**
* **Copyrighted materials without permission**
**You represent and warrant that Your Content does not violate any third-party rights or applicable laws.**
### **8.3 Generated Content Ownership**
**Subject to your compliance with these Terms and payment of applicable fees:**
* **You receive a license to use AI-generated outputs according to the terms of our third-party AI providers**
* **We make no representations or warranties regarding intellectual property rights in AI-generated content**
* **You are solely responsible for determining ownership rights and obtaining any necessary permissions for commercial use of AI-generated content**
* **AI-generated content may not be original or unique, and similar content may be generated for other users**
### **8.4 Prohibited Conduct**
**You agree NOT to:**
**Legal Violations:**
* **Violate any applicable local, national, or international law or regulation**
* **Infringe on intellectual property rights of others**
* **Engage in fraudulent, deceptive, or misleading activities**
**Platform Abuse:**
* **Attempt to gain unauthorized access to the Platform or related systems**
* **Reverse engineer, decompile, disassemble, or extract source code from the Platform**
* **Use automated systems (bots, scrapers) without our written permission**
* **Interfere with or disrupt the integrity or performance of the Platform**
* **Circumvent usage limits, restrictions, or security measures**
**Harmful Content:**
* **Generate or attempt to generate illegal, harmful, threatening, abusive, harassing, defamatory, or hateful content**
* **Create content that promotes violence, discrimination, or harm**
* **Generate spam, unsolicited communications, or malicious code**
* **Attempt to generate content that violates third-party AI provider policies**
**Commercial Misuse:**
* **Resell or redistribute AI-generated content as a competing AI service**
* **Use the Platform to provide services substantially similar to ours**
* **Share account access with unauthorized users**
### **8.5 Content Monitoring and Removal**
**We reserve the right, but have no obligation, to:**
* **Monitor, review, or moderate Your Content and generated outputs**
* **Remove or refuse to process any content that violates these Terms**
* **Investigate suspected violations and cooperate with law enforcement**
* **Take any action we deem necessary to protect the Platform and users**
### **8.6 Team Collaboration and Shared Content**
**When you share content with team members:**
* **You are responsible for managing team permissions appropriately**
* **Shared content is subject to the access controls you configure**
* **Team members may view, use, or modify shared content according to their permission level**
* **You are responsible for all content shared within your team and actions taken by team members**
**9\. Intellectual Property**

**The Platform and all its components, including but not limited to:**
* **Software, code, algorithms, and architecture**
* **User interface, design elements, and graphics**
* **Trademarks, logos, and brand elements**

**are owned by Lioneur PTY LTD or our licensors and are protected by intellectual property laws. All rights not expressly granted to you are reserved.**
### **9.2 Restrictions**
**You may not:**
* **Copy, modify, distribute, sell, or lease any part of the Platform**
* **Reverse engineer or attempt to extract source code**
* **Remove or alter any proprietary notices or labels**
* **Use our trademarks or branding without written permission**
* **Create derivative works based on the Platform**
### **9.3 Third-Party AI Models**
**The Platform utilizes third-party AI models and services. We do not own the underlying AI technology and have no control over:**
* **AI model performance, updates, or changes**
* **Third-party provider policies or terms**
* **Availability or pricing of third-party services**
**10\. Disclaimer of Warranties**

**WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:**
**Performance Warranties:**
* **Merchantability or fitness for a particular purpose**
* **Quality, accuracy, reliability, or completeness of AI-generated content**
* **Uninterrupted, timely, secure, or error-free operation**
* **Results that will meet your requirements or expectations**
* **Compatibility with your systems or software**
**Content Warranties:**
* **Accuracy, completeness, or usefulness of any AI outputs**
* **Absence of errors, bugs, viruses, or harmful components**
* **Originality or non-infringement of generated content**
* **Consistency or reproducibility of results across sessions**
**Third-Party Warranties:**
* **Performance or availability of third-party AI models**
* **Compliance of third-party services with their stated capabilities**
### **10.2 AI-Specific Disclaimers**
**WE EXPRESSLY DISCLAIM ANY WARRANTY THAT:**
* **AI-generated content will be accurate, factual, or free from errors**
* **Outputs will be suitable for commercial, professional, or critical applications**
* **AI models will perform consistently or produce predictable results**
* **Generated content will not infringe on third-party intellectual property rights**
* **The Platform will have access to any particular AI model or feature indefinitely**
### **10.3 No Professional Advice**
**The Platform does not provide professional legal, medical, financial, or other licensed professional advice. AI-generated content is for informational purposes only and should not be relied upon as professional advice.**
### **10.4 Assumption of Risk**
**You acknowledge and agree that:**
* **You use the Platform entirely at your own risk**
* **You are solely responsible for evaluating the accuracy and usefulness of any outputs**
* **We are not responsible for any decisions you make based on AI-generated content**
**11\. Limitation of Liability**

### **11.1 MAXIMUM LIABILITY CAP**
**TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF:**
* **(A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR**
* **(B) ONE HUNDRED SOUTH AFRICAN RAND (ZAR 100)**
### **11.2 EXCLUSION OF DAMAGES**
**IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:**
**Consequential Damages:**
* **Indirect, incidental, special, consequential, or punitive damages**
* **Loss of profits, revenue, income, or business opportunities**
* **Loss of data, content, or work product**
* **Loss of goodwill or reputation damage**
* **Cost of procurement of substitute goods or services**
**AI-Related Damages:**
* **Damages resulting from errors, inaccuracies, or deficiencies in AI-generated content**
* **Losses arising from reliance on AI outputs**
* **Harm caused by using AI-generated content for any purpose**
* **Business interruption or lost productivity**
**Service Damages:**
* **Damages from service interruptions, downtime, or unavailability**
* **Losses from inability to access the Platform or specific features**
* **Damages from changes to pricing, features, or AI models**
* **Any damages from account termination or suspension**
**\*\*THESE LIMITATIONS APPLY EVEN IF:**
* **We have been advised of the possibility of such damages**
* **A remedy fails of its essential purpose**
* **The damages were foreseeable**
### **11.3 Third-Party Service Limitations**
**We utilize third-party AI services (including OpenAI and similar providers). We are not responsible for:**
* **Any failures, errors, limitations, or changes to third-party AI services**
* **Third-party service interruptions, policy changes, or price increases that affect the Platform**
* **Quality, accuracy, or availability of third-party AI models**
* **Third-party provider decisions to modify or discontinue services**
### **11.4 Affiliate Program Limitations**
**For affiliate-related claims, our liability is limited to verified unpaid commissions for the immediately preceding payment period, not to exceed ZAR 10,000.**
### **11.5 Jurisdictional Limitations**
**Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.**
**12\. Indemnification**

**You agree to indemnify, defend, and hold harmless Lioneur PTY LTD (AfriBot), its affiliates, parent companies, subsidiaries, officers, directors, employees, agents, partners, and licensors from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or relating to:**

* **Your access to or use of the Platform**
* **Your use, misuse, publication, or reliance on AI-generated content**
* **Any decisions made based on outputs from the Platform**
* **Your breach of these Terms**
**Your Content:**
* **Any content you submit, upload, or transmit through the Platform**
* **Violations of third-party intellectual property rights by Your Content**
* **Any false, misleading, or inaccurate information you provide**
**Your Conduct:**
* **Your violation of any applicable laws, regulations, or third-party rights**
* **Your negligent, willful, or wrongful conduct**
* **Any harm caused to third parties through your use of the Platform**
**Affiliate Activities:**
* **Your participation in the affiliate program**
* **Your promotional activities and marketing materials**
* **Any misrepresentations or violations in your affiliate activities**
### **12.2 Defense and Settlement**
**We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. You may not settle any claim without our prior written consent.**
**13\. Termination**

**You may terminate your account at any time by:**

**Termination does not entitle you to any refunds of fees paid or unused credits.**

**We reserve the right to terminate, suspend, or restrict your access to the Platform immediately, without prior notice or liability, for any reason or no reason, including but not limited to:**
* **Violation of these Terms**
* **Fraudulent, abusive, or illegal activities**
* **Requests from law enforcement or government agencies**
* **Discontinuation of the Platform or specific features**
* **Non-payment of fees**
* **Prolonged inactivity**
* **At our sole discretion for any reason**
### **13.3 Effect of Termination**
**Upon termination of your account:**
* **Your right to access and use the Platform immediately ceases**
* **All licenses granted to you under these Terms terminate**
* **We may delete your account data, content, and AI-generated outputs**
* **You remain liable for all obligations incurred prior to termination**
* **No refunds will be issued for fees paid or unused credits**
* **Sections of these Terms that by their nature should survive termination shall survive**
### **13.4 Data Retention**
**We may retain certain data after termination:**
* **As required by law or for legitimate business purposes**
* **To resolve disputes or enforce these Terms**
* **For backup and archival purposes**
**We have no obligation to retain any content after termination.**
**14\. Governing Law and Dispute Resolution**

You are solely and entirely responsible for:

**6\. Payments, Credits, and Refunds**

* Account suspension or termination for violations of these Terms

* Discontinuation of features or services

* Errors in AI-generated content
* Any other reason whatsoever
### **6.4 Subscriptions**
* Subscription fees are charged in advance on a recurring basis (monthly, annually, or as specified)
* All subscription fees are non-refundable, even if you cancel mid-cycle
* Cancellations take effect at the end of the current billing period
* No prorated refunds or credits will be issued for partial subscription periods
* You are responsible for canceling your subscription before the next billing date to avoid charges

We reserve the right to change our pricing at any time. Price changes for subscriptions will be communicated in advance and will take effect at your next renewal. Continued use after price changes constitutes acceptance.

Your subscription plan includes a monthly allocation of credits designed for typical content creation usage. You acknowledge and agree that credits can be consumed rapidly depending on your usage patterns.
**How Credits Are Consumed:**
* **AI Writer & ReWriter:** Credits are consumed based on the number of words/tokens generated. Longer content uses more credits.
* **AI Chat, File Chat, Vision & Web Chat:** Both your input (prompts/uploads) and AI responses count toward your token allocation. Large documents or extensive conversations consume significant credits.
* **AI Images:** Image generation costs vary by model used. Each image request consumes credits based on the specific model selected (see current rates at fal.ai/pricing). Higher quality or specialized models consume more credits per image.
* **Document Processing:** Large files (PDFs, Word documents, CSVs) can consume substantial credits based on file size, complexity, and the number of questions asked.
**Rapid Credit Depletion:**
A single large request may consume a significant portion or all of your monthly credits. Examples of usage that can rapidly deplete credits include:
* Processing entire books or very large documents (100+ pages)
* Generating multiple high-resolution images using premium models
* Uploading and analyzing large datasets or files
* Running continuous or automated bulk requests
* Repeatedly generating variations of the same content
* Extended multi-turn conversations with substantial context
**Credit Management and Policies:**
* Credits reset monthly on your billing renewal date
* Unused credits do not roll over to the next month and are forfeited
* Credits are non-refundable once used, regardless of how quickly they are consumed
* You are responsible for monitoring your remaining credits via your dashboard
* You may upgrade your plan or purchase add-on credits if you run out mid-cycle
* We are not responsible for credits consumed through your usage choices
**Fair Use Policy:**
Our pricing is based on normal, reasonable usage patterns for content creators. We reserve the right to review accounts that exhibit unusual usage patterns, including but not limited to:
* Consuming all monthly credits within 24-48 hours of renewal
* Automated or bulk processing activities
* Usage patterns inconsistent with typical content creation workflows
* Activities that suggest account sharing or resale of services
Accounts found to be in violation of fair use guidelines may be subject to:
* Account review and investigation
* Usage restrictions or limitations
* Plan modifications or forced upgrades

You are solely responsible for:

**7\. Affiliate Program**

We may offer an affiliate program that allows you to earn commissions by referring new users to the Platform through unique affiliate links. Participation in the affiliate program is optional and subject to these Terms and any additional affiliate program guidelines we publish.

* Monitor, review, or moderate Your Content and generated outputs
* Remove or refuse to process any content that violates these Terms
* Investigate suspected violations and cooperate with law enforcement
* Take any action we deem necessary to protect the Platform and users
### **8.6 Team Collaboration and Shared Content**
When you share content with team members:
* You are responsible for managing team permissions appropriately
* Shared content is subject to the access controls you configure

**Your Use:**

* Your use, misuse, publication, or reliance on AI-generated content
* Any decisions made based on outputs from the Platform
* Your breach of these Terms
**Your Content:**
* Any content you submit, upload, or transmit through the Platform
* Violations of third-party intellectual property rights by Your Content
* Any false, misleading, or inaccurate information you provide
**Your Conduct:**
* Your violation of any applicable laws, regulations, or third-party rights
* Your negligent, willful, or wrongful conduct
* Any harm caused to third parties through your use of the Platform
**Affiliate Activities:**
* Your participation in the affiliate program
* Your promotional activities and marketing materials
* Any misrepresentations or violations in your affiliate activities
### **12.2 Defense and Settlement**
We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. You may not settle any claim without our prior written consent.
**13\. Termination**

### **13.1 Termination by You**
You may terminate your account at any time by:
* Discontinuing use of the Platform
* Contacting us at [email protected] to request account closure
Termination does not entitle you to any refunds of fees paid or unused credits.
### **13.2 Termination by Us**
We reserve the right to terminate, suspend, or restrict your access to the Platform immediately, without prior notice or liability, for any reason or no reason, including but not limited to:
* Violation of these Terms
* Fraudulent, abusive, or illegal activities
* Requests from law enforcement or government agencies
* Discontinuation of the Platform or specific features
* Non-payment of fees
* Prolonged inactivity
* At our sole discretion for any reason
### **13.3 Effect of Termination**
Upon termination of your account:
* Your right to access and use the Platform immediately ceases
* All licenses granted to you under these Terms terminate
* We may delete your account data, content, and AI-generated outputs
* You remain liable for all obligations incurred prior to termination
* No refunds will be issued for fees paid or unused credits
* Sections of these Terms that by their nature should survive termination shall survive
### **13.4 Data Retention**
We may retain certain data after termination:
* As required by law or for legitimate business purposes
* To resolve disputes or enforce these Terms
* For backup and archival purposes
We have no obligation to retain any content after termination.
**14\. Governing Law and Dispute Resolution**

### **14.1 Governing Law**
These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.
### **14.2 Jurisdiction and Venue**
Any disputes arising from or relating to these Terms or the Platform shall be resolved exclusively in the courts located in Pretoria, South Africa. You irrevocably consent to the exclusive jurisdiction and venue of such courts and waive any objections to venue or jurisdiction.
### **14.3 Arbitration Option**
At our sole election, we may require that any dispute be resolved through binding arbitration in Pretoria, South Africa, administered by a mutually agreed arbitrator under the Arbitration Act 42 of 1965 (as amended). The arbitrator's decision shall be final and binding.
You waive any right to:
* Participate in class-action lawsuits or class-wide arbitration
* Have disputes resolved by a jury
* Appeal an arbitrator's decision except as permitted by law
### **14.4 Limitation Period**
Any claim or cause of action arising from or related to these Terms or the Platform must be filed within one (1) year after the claim or cause of action arose. After this period, such claims or causes of action are permanently barred.
### **14.5 Injunctive Relief**
Notwithstanding the above, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights or prevent irreparable harm.
**15\. Miscellaneous**

### **15.1 Entire Agreement**
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Lioneur PTY LTD regarding the Platform and supersede all prior agreements, understandings, and communications, whether written or oral.
### **15.2 Severability**
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
### **15.3 No Waiver**
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No waiver of any breach or default shall constitute a waiver of any subsequent breach or default.
### **15.4 Assignment**
You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. We may freely assign, transfer, or delegate these Terms and our rights and obligations without restriction. Any attempted assignment by you in violation of this section is void.
### **15.5 Relationship of Parties**
Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and us. You have no authority to bind us or make commitments on our behalf.
### **15.6 Force Majeure**
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

All notices to you under these Terms may be provided via:

* Posting on the Platform
* In-app notifications

Notices are deemed received when sent via email or when posted on the Platform.

These Terms are provided in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
### **15.9 Export Compliance**
You may not use, export, or re-export the Platform except as authorized by South African law and the laws of the jurisdiction in which you use the Platform. You represent that you are not located in a country subject to a South African government embargo or designated as a "terrorist supporting" country.
### **15.10 Third-Party Rights**
These Terms do not confer any third-party beneficiary rights. Only you and Lioneur PTY LTD may enforce these Terms.
### **15.11 Headings**
The section headings in these Terms are for convenience only and have no legal or contractual effect.

1. You have read and understood these Terms of Service in their entirety
2. You agree to be legally bound by all provisions contained herein
3. You understand that all sales are final and non-refundable
4. You accept the limitations on liability and disclaimers of warranties
5. You understand the nature and limitations of AI-generated content
6. You agree to use the Platform at your own risk
If you do not agree with any part of these Terms, you must not use the Platform.
